Terms of Use Please read these Terms and Conditions of Pyzhak Exchnge Co. Ltd, reg. no. 0835565017389 carefully. By accepting these Terms and using our services, you agree to be legally bound by them and any other terms incorporated by reference. If you do not agree with these Terms or any of their provisions, you must immediately discontinue using our services. General Provisions 1.1. These Terms govern relations related to the use of the website https://Exchange24.pro and the Exchange24 platform, downloaded via the mini-app in Telegram (hereinafter referred to collectively as the “Platform”). 1.2. The following terminology applies to these Terms: “User”, “You” and “Your” refers to you, the individual (natural person) accessing the Platform, using our services through the Platform and accepting these Terms. “Exchange24”, “Services”, “We”, “Us” and “We” refer to Exchange24. "Party" refers to either you or us. For the avoidance of doubt, the contracting parties to these Terms are you and Exchange24. "Currency" is the monetary unit of a country or group of countries used to measure the value of goods, works, and services, and as a generally accepted means of payment and settlements. Currencies are presented on the Platform. "Exchange" means the exchange of one Currency for another currency. “Fixed Rate Exchange” means an exchange carried out at the same rate as displayed to the customer at the start of the exchange, regardless of subsequent rate fluctuations. 1.3. These Terms are open and public. The current version of the Terms is available here. 1.4 In these Terms, unless otherwise stated, words indicating the singular include the plural and vice versa, and words indicating gender include all genders. 1.5. The User agrees that the Terms of Service may be updated by Exchange24 at any time. If the User has not read and accepted the Terms of Service, the User must not use or continue to use the Services. Use of Services 2.1 By using the Platform or the Exchange24 exchange service, you accept these Terms and agree that you are responsible for compliance with all applicable laws and regulations. 2.2 By accepting the terms of the Classic Exchange Option, also referred to as the "Classic Exchange Rates", you acknowledge and agree that the exchange rate information for the Floating Rate Option is indicative only and may differ slightly from the actual exchange rate. If the currency market changes significantly during the exchange, the following options may be offered: Make an exchange at the current market rate. Return unexchanged currencies to the original address or to the return address after deducting fees, and send the exchanged funds to the payout address after converting them to the asset specified when creating the exchange. 2.3 By using the "Floating Exchange Rate", you acknowledge and agree that the floating exchange rate may differ from the fixed exchange rate. Exchange24 will complete the exchange if the following requirements are met: We received the currency within the time specified in the transaction/application/exchange terms after the User created the exchange. It's important to note that the payment sent to us does not mean Exchange24 accepts it. The user has transferred the currency and, if necessary, provided the necessary documents at the request of Exchange24. The User has transferred the exact amount that was displayed on the Platform or confirmed by the User in the chat with the manager, and has also taken into account all relevant commissions and other possible applicable fees. If the situation allows for an exchange, the transaction will be completed at the rate confirmed by the User at the beginning of the exchange. If the market situation is such that the exchange can no longer be completed, the currency will be returned, if possible, less any applicable fees. If the User sends an amount that is lower than the estimated amount or higher than the amount specified and confirmed by the User prior to creating the exchange, the transaction is carried out in accordance with the rules of the floating rate exchange. 2.4. When exchanging currencies, you acknowledge and agree that we may partner with third-party liquidity providers and may use their services to complete the exchange. 2.5. For exchanges through our Services, our system automatically generates a one-time address. 2.6. By accepting these Terms and using the Platform, you represent and warrant that: You are 18 years of age or older and have full legal capacity in accordance with current legislation; are not located in, under the control of, or a national or resident of any prohibited jurisdiction (Section 10 of this Agreement); You conduct transactions on the Platform only with legally obtained funds that rightfully belong to you; you have not previously been suspended or prevented from using the Platform and our services; You do not facilitate, commit, undertake, participate in, promote or solicit any illegal activity through your relationship with us or through your use of the Websites and our services; you comply with these Terms and all applicable laws; You will use the Platform and our services only for your personal, non-commercial use and will not represent any third party; You will not mislead other Users and third parties when using the Platform; you will not take any action that is solely intended to cause harm to Exchange24 or other third parties; You may not reverse engineer, decompile or otherwise disassemble the Platform or any Exchange24 software; Recognizing the international nature of the Internet, you accept full responsibility for compliance with all local laws and regulations regarding your online activities; You agree and consent to receive electronically all communications, agreements, documents, receipts, notices and disclosures that Exchange24 provides in connection with your use of the Platform and our services; You understand and acknowledge that any delays in the provision of services are possible; You should not use proxies, VPNs or other software to hide your IP address. 2.8. The Platform is available 24 hours a day, 7 days a week. However, Exchange24 reserves the right to temporarily suspend the Platform or access to it without notice or compensation for maintenance, including, but not limited to, updates, server maintenance, and changes. 2.9. In order to protect the integrity of the Platform, Exchange24 reserves the right to block users who violate these Terms at any time at its sole discretion. AML/KYC procedure 3.1. Users do not need to create accounts: you do not need to register or log in to use the Platform. However, Exchange24 uses an automated risk management system to verify all exchanges conducted by Users. 3.2. By accepting these Terms, you agree to comply with any AML/KYC procedures that may be applied to you or may be requested by Exchange24 at any time. 3.3. During the AML/KYC procedure, Exchange24 reserves the right to request additional information and documents, including, but not limited to, a scanned copy of your ID valid in your country and additional information about the origin of the funds. 3.4 In limited cases (e.g. to verify your identity for AML/KYC purposes), we reserve the right to freeze your exchange for any period of time necessary to complete the investigation and AML/KYC procedures. While the investigation is ongoing, Exchange24 reserves the right to move frozen funds to secure storage. This will be done to ensure their safety. 3.5. If you refuse to complete the AML/KYC procedure or do not provide Exchange24 with the requested documents and information, Exchange24 has the right to refuse to process your exchange (current and future). 3.6. By accepting these Terms, you agree and warrant to provide true, accurate, current and complete information about yourself and are solely responsible for its accuracy, completeness and truthfulness. In limited cases (if there is a suspicion that the exchange is related to illegal activity), we reserve the right to freeze your exchange transaction for any period of time necessary to complete the investigation and AML/KYC procedure. Personal data 4.1. By accepting these Terms, you expressly authorize Exchange24 to process your personal data and export your personal data outside the jurisdiction in which you reside or are located. 4.2. We reserve the right to transfer certain User data (including IP addresses) to our business partners or government agencies upon their request to assist in the prevention and detection of prohibited or illegal activities. By accepting these Terms, you acknowledge and agree that your personal data may be transferred in this manner. 4.3. In accordance with the Personal Data Protection Act BE2562 ("PDPA"), the User voluntarily, of his own free will and in his own interests provides us with his personal data and agrees to the processing of the relevant personal data by us in any form provided for by the legislation of Thailand, including its collection, recording, systematization, accumulation, storage, updating, modification, use, and transfer. The User agrees that our processing of his personal data may include direct contact with him via communication tools for the purpose of promoting goods, works, and services on the market (including providing the User with advertising messages). Our processing of participants' personal data is governed by these Terms and any other additional privacy information that is and/or may be provided by Exchange24 by publication on the Platform. Exchange24 undertakes to process personal data in accordance with the PDPA. Exchange24 does not recognize any restrictions on its processing of participants' personal data other than those expressly specified in the Federal Law "On Personal Data." Prices, exchange rates and confirmations 5.1 The Exchange24 conversion service attempts to provide accurate information on prices and exchange rates, but this information is extremely volatile and can change quickly, and Users will not necessarily be aware of these changes. 5.2 For regular orders, the exchange rate you receive is calculated at the time the currency exchange occurs. 5.4. Exchange24's fees (Exchange24's remuneration for using its services and the Platform) are included in the User's final exchange rate. You will not be required to pay additional fees directly to Exchange24, unless otherwise provided in these Terms. 5.5. Please contact customer support (https://ex24.pro/contacts) for more information on exchange rates and prices. 5.6. Taxes. You are responsible for determining what taxes, if any, apply to the changes you make through the Platform and our services, and you are responsible for reporting and remitting the correct taxes to the appropriate tax authority. You agree that Exchange24 is not responsible for determining whether taxes apply to your exchanges or for collecting, reporting, withholding, or remitting any taxes arising from any transactions. 5.7. By purchasing goods or services through the Platform, you agree that Exchange24 will act as your agent and may engage third-party suppliers. Exchange24 is not responsible for any delay in payment caused by us or a third-party supplier. All prices and costs for additional services or products listed on the Platform are current as of the date they are posted. The cost of services/products is indicated in the recipient's currency and is considered received on the date the funds are debited. Return and Refund Policy 6.1. We cannot be held responsible for any risks associated with using the Platform, including, but not limited to, exchange rate and market risks. All sales and transactions after Exchange24 are final, and amounts are non-refundable. 6.2 Any decisions by Exchange24 regarding refunds or exchanges are final. 6.3. Please note: Transactions below the minimum limits defined on the Platform cannot be completed if such limits exist on the Platform. When the User specifies a destination address, this is the only address to which the outgoing funds can be sent. Any decisions Exchange24 makes regarding refunds in these circumstances are final. When a User requests a refund, it can be issued to the User or only to the account details specified and confirmed by the User. Refunds cannot be issued to new account details. To request a refund, the User must contact Exchange24 support, as Exchange24's decisions regarding refunds are final. WARNING: There are fake websites posing as the Exchange24 Platform (also known as "phishing scams"). They use a misspelled URL that appears to be "Exchange24" to trick users into sending them funds. DO NOT USE ANY SERVICES THAT ARE NOT EXACTLY LOCATED IN THE DOMAIN: "Exchange24." Exchange24 is not responsible for funds sent to these fake phishing platforms. It is important that all users verify that they are visiting the correct URL (Exchange24) and look for the security certificate in their browser's address bar. Also, never trust private messages, solicitations, or requests for funds from people claiming to be Exchange24 unless you have verified that it is an official request from an Exchange24 employee. If in doubt, please contact us directly to verify the messages. Stay vigilant – and please report any phishing scams to our team (https://ex24.pro/contacts). 6.4. In the event of sudden changes in the currency market, Exchange24 cannot exchange currency at a fixed rate. In this case, Exchange24 will perform exchange transactions at the market rate or return the currency to the User, at the User's discretion. The Parties agree that "sudden changes in the currency market" means exchange rate changes of 1% or more in either direction. 6.5. If any changes occur in the currency market and the User decides to exploit a vulnerability in the service, Exchange24 will be unable to complete the User's exchange transactions and will return the currency to them. 6.6. According to reports from victims of financial theft, in limited cases Exchange24 is able to stop funds stolen from a client or company. Please note that the transaction may be stopped after the exchange stage, depending on the time it takes to receive the report. In such cases, we may be able to refund the funds in the currency to which the exchange was made (to-currency). To return such funds, Exchange24 will require a request from a law enforcement agency clearly stating that the funds in question must be returned. Please send a digital copy of the request to the contact information listed at https://ex24.pro/contacts. 6.7. In limited cases, Exchange24 may store User funds. The period during which User funds are stored by Exchange24 is limited to 30 (30) calendar days. After this period, Exchange24 cannot guarantee the safety of unclaimed funds. At the User's request, Exchange24 will make every effort to return unclaimed funds after the deadline. However, Exchange24 is not responsible for the outcome. All fees charged for refunded transactions are the responsibility of the User. 6.8. Counterfeit banknotes are currency that has no value. Despite imitating an existing currency and sharing the same name or logo, such currency has no value or worth. Exchange24 checks the currency for signs of counterfeiting. If counterfeit currency is received, Exchange24 will not exchange it and reserves the right to notify the appropriate law enforcement authorities. Compensation for damages 7.1. You agree to indemnify and hold Exchange24 harmless from and against any third party claims arising out of or in connection with: your breach of the Terms; your violation of applicable laws, rules or regulations in relation to the Platform and our services, including any liability or expense arising from all claims, losses, damages (actual and consequential), actions, judgments, legal costs of any kind and nature. 7.2. In such event, Exchange24 will provide you with written notice of such claim, action, or proceeding; provide you with the opportunity to control the defense and/or settlement of such claim, action, or proceeding; and provide you with reasonable assistance in such defense or settlement upon reasonable request and at your expense. Disclaimer 8.1 NOTHING IN THESE TERMS SHALL EXCLUDE OR LIMIT Exchange24'S WARRANTY OR LIABILITY FOR LOSSES THAT CANNOT BE LAWFULLY EXCLUDED OR LIMITED BY APPLICABLE LAW. 8.2 YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE PLATFORM AND OUR SERVICES IS AT YOUR SOLE RISK AND THAT THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. 8.3. TO THE FULLEST EXTENT PERMITTED PURSUANT TO APPLICABLE LAW, Exchange24 MAKES NO EXPRESS WARRANTIES AND DISCLAIMS ALL IMPLIED WARRANTIES WITH RESPECT TO THE PLATFORM, THE SERVICES, OR ANY APPLICATIONS OR EXTERNAL SITES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, CORRECTNESS, ACCURACY, AND RELIABILITY. 8.4. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, Exchange24 DOES NOT REPRESENT OR WARRANT TO YOU THAT: (A) YOUR USE OF THE PLATFORM AND SERVICES WILL MEET YOUR REQUIREMENTS, (B) YOUR USE OF THE PLATFORM AND SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE DATA PROVIDED THROUGH THE PLATFORM WILL BE ACCURATE, OR (D) THE PLATFORM OR ANY CONTENT AVAILABLE ON OR THROUGH THE PLATFORM ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COMPONENTS. Limitation of Liability 9.1. SUBJECT TO SECTION 8 ABOVE, YOU UNDERSTAND AND AGREE THAT Exchange24 WILL NOT BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES THAT YOU MAY INCUR, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, INCLUDING, BUT NOT LIMITED TO, ANY LOSS OF PROFITS (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA, COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES OR OTHER INTANGIBLE LOSSES, EVEN IF Exchange24 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 9.2. SUBJECT TO SECTION 8 ABOVE, YOU AGREE THAT Exchange24'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE USE OF OR ANY INABILITY TO USE ANY PART OF THE PLATFORM OR SERVICES OR OTHERWISE UNDER THESE TERMS, WHETHER IN CONTRACT, TORT OR OTHERWISE, IS LIMITED TO THE AMOUNT OF THE EXCHANGE, BUT IN NO CASE MORE THAN 500 EUR. 9.3 The above limitations of liability apply regardless of whether the alleged liability or damages are based on contract, negligence, tort, strict liability or any other basis. 10. Prohibited Jurisdictions 10.1 By accessing and using the services, exchange facilities, and the Exchange24 Platform, you represent and warrant that you are not located in, or a citizen or resident of, the United Kingdom, the United States of America, a country subject to the United Nations sanctions lists or equivalents, or a country where the use of cryptocurrency is prohibited by applicable law. 10.2. Exchange24 also reserves the right to use various methods to prevent the use of the Platform and its services by the Users listed above. You must comply with this Section even if Exchange24's methods for preventing the use of its services and the Platform are ineffective or can be circumvented. 10.3. Exchange24 may confiscate any funds from Users in these jurisdictions and donate them to charity at its sole discretion. 10.4. Use of the Platform is invalid if prohibited by applicable law. 10.5. Exchange24 reserves the right to obtain your IP address. If your IP address is allocated in a prohibited jurisdiction (Section 10 of this Agreement), Exchange24 may deny you access to the Platform and services. 11. Acceptable Use 11.1. Use of the Platform, services, or facilities may involve financial risk. 11.2. By accessing or using the Platform, you agree that you will not violate any laws, contracts, intellectual property rights or other rights of third parties or commit an offense, and that you are solely responsible for your conduct when using the Platform and our services. 11.3 Without limiting the generality of the foregoing, you agree that you will not: damage, disable, overburden or impair the functioning of the Platform in any way; use the Platform and our services to pay for, support or otherwise participate in any illegal activity (such as illegal gambling, fraud, money laundering or terrorist activity); use any robot, spider, crawler, scraper or other automated means or interface not provided by us to access the Platform or to extract data; You may not transmit any viruses, worms, defects, Trojan horses, corrupted files, hoaxes or anything else of a destructive or deceptive nature. 12. Termination 12.1. These Terms shall enter into force for the User from the moment of commencement of use of the Platform and shall remain valid for an indefinite period. 12.2. Exchange24 reserves the right to suspend your access to the Platform for any reason, including but not limited to breach of these Terms, at its sole and absolute discretion, immediately, without prior notice and without incurring any liability. 12.3. Exchange24 reserves the right to terminate or block your access to the Platform for any reason, including, without limitation, breach of these Terms, in its sole and absolute discretion, immediately, without prior notice and without incurring any liability. 12.4 Exchange24 will not explain the reasons for its actions. 12.5. Sections 2–11 and 14–17 shall survive any termination of these Terms. 13. Change 13.1. Exchange24 is constantly changing and improving the Platform and its services. 13.2. Exchange24 reserves the right to add or remove features or functionality of the Platform, and to add or create new restrictions on the use of the Platform and its services at any time. 14. Links to third-party Platforms 14.1. The Platform may contain links or provide access to third-party websites and content displayed on such websites, which is the result of the intellectual property of third parties and is protected under applicable law. Exchange24 does not review these websites or the content displayed on them for compliance with applicable law. Exchange24 is not responsible for any information or content displayed on such websites accessed by the User through the Platform, including any opinions or statements expressed on such third-party websites. 14.2. The User acknowledges that from the moment the User clicks on a link on the Platform on a third-party website, the relationship between Exchange24 and the User ceases and Exchange24 bears no responsibility for the accuracy of the information displayed on third-party websites, the User's use of third-party services and content, the validity of such use, and the quality of services and content displayed on third-party websites. 14.3. Exchange24 has the right to include in the Platform the ability to access websites and services owned or operated by third parties and which are not part of the Platform, as well as advertising information. Exchange24 does not control third-party content, websites, or services and assumes no responsibility for the services provided or material created or published on such third-party websites or services. The presence of links to third-party websites on the Platform or in Exchange24 content does not mean that Exchange24 endorses such websites or the products (works, services) mentioned on such websites. 15. Copyright protection 15.1 Your use of the Platform does not grant you ownership of any intellectual property rights in the Platform or any software or content that you access. 15.2. The materials contained on the Platform are protected by applicable copyright and trademark laws and treaties. 15.3. Search queries that include a direct domain name or brand name, such as (but not limited to) Exchange24, Exchange24, etc., are prohibited. Violation of this rule may result in exclusion from the affiliate program (including, but not limited to, blocking of API keys and a ban on profit withdrawals). 16. Transfer of rights 16.1. Exchange24 may transfer rights and obligations under these Terms to third parties without the User’s additional consent. 16.2. The User has the right to transfer his rights and obligations under these Terms to any third party only with the prior written consent of Exchange24. 17. Entire Agreement 17.1 These Terms constitute the entire agreement between the Parties and supersede any prior understandings or agreements between them relating to the transactions contemplated by these Terms. 17.2. Unless otherwise provided in these Terms, each Party shall bear its own costs and expenses associated with the negotiation, preparation and execution of these Terms. Current version: February 6, 2025
